Terms of Service

Effective 5 September 2026

1. Agreement and operator

These Terms govern access to and use of Zonalia, including its website, workspace, trade-control tools, APIs and related services. Zonalia is operated by Aurum Digital Consulting Limited ("Aurum", "we", "us"). By creating an account, accessing a paid service, or using Zonalia, you agree to these Terms. If you use Zonalia for an organisation, you represent that you have authority to bind that organisation.

If you do not agree, do not use the service.

2. What Zonalia is and is not

Zonalia is an independent software and operational-intelligence platform for organising cross-border trade information, decisions, readiness controls, tasks, counterparties, documents, milestones, exceptions and shipment records.

Zonalia is not a customs authority, free zone, regulator, freight forwarder, customs broker, bank, insurer, carrier, inspection company, legal adviser, tax adviser or other regulated professional. Zonalia does not issue licences, permits, customs assessments, tariff rulings, regulatory approvals or guarantees of clearance, delivery or commercial outcome.

3. Operational intelligence is decision support

Readiness states, HOLD/CLEAR gates, risk labels, action rankings, trade briefs, alerts, reminders, AI-assisted outputs and other automated or rules-based recommendations are operational decision-support signals only. They are not regulatory certification, professional advice, a compliance opinion or a representation that a transaction is lawful, complete, profitable or approved.

You must exercise independent judgment and obtain appropriate professional or official confirmation where the consequences of an error are material.

4. HS classification, duties and landed cost

HS-code suggestions, duty bands, levies, taxes, exchange-rate assumptions, landed-cost calculations and similar outputs are indicative and may be incomplete, outdated or inapplicable to a particular transaction. Classification and customs treatment can depend on product composition, use, origin, valuation, concessions, exemptions, administrative practice and other facts not available to Zonalia.

Official classification, valuation, assessment, admissibility and clearance remain matters for the competent authorities and applicable procedures. You are responsible for verifying material calculations and classifications before relying on them.

5. Your responsibilities

You are responsible for: (a) the legality and commercial substance of your transactions; (b) the accuracy, completeness and currency of information submitted to Zonalia; (c) reviewing generated outputs before acting on them; (d) maintaining required licences, permits and approvals; (e) appointing qualified brokers, forwarders, advisers or other professionals where required; (f) complying with customs, trade, tax, sanctions, export-control, product, anti-bribery, anti-money-laundering and other applicable laws; and (g) safeguarding account credentials and controlling authorised users.

You must not use Zonalia to facilitate prohibited, fraudulent, deceptive, sanctioned or unlawful trade, to conceal the true nature or value of goods, to falsify documents, or to circumvent official controls.

6. Third parties and external systems

Zonalia may reference, connect to or depend on third-party services, public data, payment providers, logistics providers, government systems or other external sources. We do not control those systems and are not responsible for their availability, accuracy, acts, omissions, delays, decisions, terms or security. A link, integration or data reference does not imply endorsement, agency or affiliation.

7. Accounts, suspension and security

You must provide accurate registration information and keep access credentials confidential. You are responsible for activity conducted through your account unless caused by our breach of duty. We may restrict or suspend access where reasonably necessary to protect the service or users, investigate suspected abuse, comply with law, address non-payment, respond to security risk, or prevent unlawful or harmful activity.

8. Customer data and privacy

You retain rights in data and documents you submit. You grant Aurum the limited rights necessary to host, process, transmit, reproduce and otherwise use that material to provide, secure, maintain and improve the service, comply with law and enforce these Terms.

Personal data is handled in accordance with our Data Processing Addendum, applicable privacy notices and the Nigeria Data Protection Act 2023 where applicable. You are responsible for having a lawful basis to provide personal data to Zonalia and for giving required notices to affected persons.

9. Confidentiality

Each party must use reasonable care to protect non-public business, technical and commercial information received from the other and may use it only for the relationship contemplated by these Terms, except where disclosure is authorised, already lawfully known, independently developed, publicly available without breach, or required by law or competent authority.

10. Fees, taxes and payment

Paid features, subscriptions, API usage or enterprise services are charged at the prices presented or agreed at the time of purchase. Unless otherwise stated, fees exclude taxes, duties, banking charges and third-party costs. You are responsible for applicable taxes and third-party charges. Fees already earned or consumed are non-refundable except as expressly stated, required by law, or provided through an applicable service-credit arrangement.

11. Intellectual property

Zonalia, its software, models, workflows, designs, documentation, trademarks and underlying intellectual property belong to Aurum or its licensors. Except for the limited right to use the service under these Terms, no rights are transferred to you. You may not copy, reverse engineer, scrape, resell, sublicense or commercially exploit the service except where expressly permitted by law or a written agreement with Aurum.

12. Service changes and availability

We may modify, improve, replace or discontinue features as the product evolves. We do not promise uninterrupted or error-free operation. Any specific uptime or service-credit commitment applies only where expressly stated in the Service Level Agreement or a signed enterprise agreement.

13. Disclaimers

To the fullest extent permitted by applicable law, Zonalia is provided on an "as available" and "as is" basis. We disclaim implied warranties of merchantability, fitness for a particular purpose, uninterrupted availability, non-infringement and accuracy to the extent they may lawfully be disclaimed. We do not warrant that use of Zonalia will prevent loss, delay, seizure, penalty, reassessment, demurrage, detention, fraud, misclassification, regulatory action or other trade risk.

Nothing in these Terms excludes rights or warranties that cannot lawfully be excluded.

14. Limitation of liability

To the fullest extent permitted by law, Aurum will not be liable for indirect, incidental, special, exemplary, punitive or consequential loss, or for loss of profit, revenue, business, opportunity, goodwill, anticipated savings or data, arising from or relating to Zonalia, even if the possibility was known.

Subject to liabilities that cannot lawfully be limited, Aurum's aggregate liability arising out of or relating to the service during any rolling twelve-month period will not exceed the greater of (a) the fees paid by the affected customer to Aurum for Zonalia during that period, or (b) NGN 100,000 where the affected service was free. Separate liability terms in a signed enterprise agreement prevail for that customer.

15. Indemnity

To the extent permitted by law, an organisational or business user will indemnify and hold Aurum harmless from third-party claims, penalties, losses and reasonable costs arising from that user's unlawful trade activity, false or unauthorised data or documents, infringement of third-party rights, misuse of Zonalia, or material breach of these Terms, except to the extent caused by Aurum's own breach, negligence or wilful misconduct.

16. Force majeure

Neither party is liable for delay or failure caused by events beyond reasonable control, including government action, regulatory or customs-system outage, internet or cloud disruption, industrial action, war, civil disorder, epidemic, natural disaster, power failure, carrier failure or widespread cyber incident, provided reasonable mitigation steps are taken where practicable.

17. Termination

You may stop using Zonalia at any time. We may terminate or suspend access for material breach, unlawful use, security risk, non-payment or where continuing service would expose Aurum or others to material legal or operational risk. Provisions intended by their nature to survive termination, including payment, confidentiality, intellectual property, disclaimers, liability, indemnity and dispute provisions, will survive.

18. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. The parties will first attempt in good faith to resolve a dispute through written notice and negotiation for 30 days. If unresolved, the dispute may be referred to arbitration in Lagos, Nigeria, before one arbitrator under the Arbitration and Mediation Act 2023, in English, unless applicable law requires another forum.

Either party may seek urgent interim or injunctive relief from a court of competent jurisdiction. Nothing in this clause removes non-waivable consumer, privacy or other statutory rights.

19. Changes, severability and entire agreement

We may update these Terms as the service or law changes. Material changes will be posted with a revised effective date and, where appropriate, additional notice. If a provision is unenforceable, it will be limited or severed to the minimum extent necessary without affecting the remainder. These Terms, the DPA, the SLA where applicable, any order form and any signed enterprise agreement form the agreement governing the service; a signed enterprise agreement prevails where it expressly conflicts.
